LIMITATION OF LIABILITY:

Electricaldatabase.com's total liability arising out of this agreement shall be limited to the fees paid by registered users to electricaldatabase.com under this agreement. In no event shall electricaldatabase.com or any Affiliate be liable to user for any special, consequential, incidental or indirect damages, including lost profits, occasioned by the breach of any obligation under this agreement for any cause whatsoever, whether foreseeable or not, on any theory of liability, and notwithstanding any failure of essential purpose of any limited remedy. The Electricaldatabase.com site is provided "as is." ELECTRICALDATABASE.COM MAKES NO WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE ELECTRICALDATABASE.COM SITE OR ITS SERVICES, AND ELECTRICALDATABASE.COM DISCLAIMS ANY IMPLIED WARRANTIES OF NONINFRINGEMENT, TITLE, DEALER ABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. ELECTRICALDATABASE.COM DOES NOT WARRANT OR GUARANTEE THAT THE OPERATION OF THE ELECTRICALDATABASE.COM SITE WILL BE UNINTERRUPTED OR ERROR-FREE. ELECTRICALDATABASE.COM DOES NOT MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS DERIVED FROM THE ELECTRICALDATABASE.COM SITE. ELECTRICALDATABASE.COM DOES NOT WARRANT OR GUARANTEE THAT ANY END-USERS WILL PURCHASE ANY PRODUCTS OR SERVICES FROM USER.

DISPUTES:

Because ELECTRICALDATABASE.COM is not involved in the actual transaction between Sellers and Buyers and is not the agent of either for any purpose, ELECTRICALDATABASE.COM will not be involved in resolving any disputes between participants related to or arising out of any transaction.

BECAUSE ELECTRICALDATABASE.COM IS NOT INVOLVED IN TRANSACTIONS BETWEEN BUYERS AND SELLERS OR OTHER PARTICIPANT DEALINGS, IF A DISPUTE ARISES BETWEEN ONE OR MORE PARTICIPANTS, EACH OF YOU RELEASE ELECTRICALDATABASE.COM (AND ITS AGENTS AND EMPLOYEES) FROM CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.

INDEMNIFICATION:

Dealer shall indemnify and hold ELECTRICALDATABASE.COM harmless from any and all claims, liabilities, judgments, costs, damages and expenses, including reasonable attorneys' fees, arising in connection with (i) any breach or misrepresentation under this Agreement by dealers, its affiliates, or other persons, or the employees or agents of any of the foregoing, (ii) the products or services offered or sold by dealer. ELECTRICALDATABASE.COM shall indemnify and hold dealer harmless from and against any and all claims, liabilities, judgments, costs, damages, and expenses, including reasonable attorneys' fees, arising in connection with any breach or misrepresentation under this Agreement by ELECTRICALDATABASE.COM, its representative, employees or agents.

PAYMENT:

You agree to pay ELECTRICALDATABASE.COM all applicable charges to your account in United States dollars, in accordance with the terms of the program and/or payment plan you selected, including, if any, all applicable taxes, in accordance with billing terms in effect at the time the fee becomes payable. You agree and represent that all information you provide for the purpose of enrolling as a User will be accurate, complete and current. If payment cannot be charged to your credit/charge/debit card, for whatever reason, or if there is a chargeback for any reason, or if your financial institution does not honor your check, or if you exceed your monthly maximum payment, ELECTRICALDATABASE.COM reserves the right to either suspend or terminate your account. You will be assessed a fee for any returned checks, declined cards, or chargeback requests on your account. In the event of any failure by you to make payment, you will be responsible for all reasonable expenses (including attorneys' fees) incurred by ELECTRICALDATABASE.COM in collecting such amounts.

PARTS REQUEST USER INFORMATION:

Users on this website will provide their contact information as a means of communicating with other users their parts request. Users may only use this information within ELECTRICALDATABASE.COM website and/or within the premise of fulfilling parts requests that are submitted through our website. Users are prohibited from acquiring other ELECTRICALDATABASE.COM user's information for use of SPAM and/or unsolicited promotions. Users are prohibited from sharing, renting and/or selling other ELECTRICALDATABASE.COM user's information.

TERMINATION:

ELECTRICALDATABASE.COM, in its sole discretion, may terminate this Participation Agreement, access to the Site or the Services, or any current auctions or fixed price sales immediately without notice for any reason.
